1.Who we are and what these terms cover
These terms govern the use of the edukai.app website and of PrismaX (prismax.edukai.app), the artificial intelligence service for creating and studying lessons and courses in scientific subjects. Both are provided by:
EDUKAI S.R.L.S. (an Italian società a responsabilità limitata semplificata, a simplified limited liability company with a sole shareholder), registered office at Via Pandosia 13, 00183 Rome (RM), Italy. Tax code, VAT number and Rome Companies Register number 17352961001, REA RM-1712755. Share capital €500.00, fully paid up.
Contacts: email info@edukai.app, certified email (PEC) edukai@pec.it, telephone . You can also write to us through the WhatsApp button on the website and in PrismaX.
By creating an account, purchasing a plan or using PrismaX, you accept these terms. How we process personal data is explained in the Privacy and cookies notice.
You are a consumer if you are a natural person using PrismaX for purposes outside your trade, business, craft or profession; otherwise you are a professional. At the time of purchase we ask you in which capacity you are buying: if you state that you act for professional purposes, for example by providing a VAT number, the clauses for professionals apply to you. The protections that the law grants to consumers always apply, even where these terms do not repeat them.
If you use PrismaX on behalf of a school, university, academy or company, you declare that you are authorised to do so. If the organisation has signed a contract with us, that contract prevails over these terms.
2.Definitions
- Service: PrismaX, with its features, plans and related pages, and the edukai.app website.
- User: anyone who uses the service, with or without an account. Author: the user who creates a course.
- Content: what the user writes or uploads to the service. Outputs: what PrismaX generates with artificial intelligence, such as lessons, figures and exercises.
- Budget: the amount of artificial intelligence processing included in a plan, as shown in the app.
- Public course: a course that its author makes visible to anyone. Gallery: the selection of courses that Edukai shows in the service and on its pages. Library: Edukai’s collection of content, made up of public courses, elements generated by artificial intelligence and content created by Edukai.
- Organisation: a school, university, academy, company or other body that uses the service for its own purposes.
3.What PrismaX is and what it is for
PrismaX is an artificial intelligence agent for learning: starting from a request, it prepares explanations, animated figures and automatically checked exercises, and lets you collect them into courses to study or to share. It may adapt explanations, exercises and suggestions to the way you use it.
PrismaX is intended for studying, practising and preparing teaching material. Unless agreed with us in writing, it is not designed or intended to:
- give grades that count towards a final assessment, or award certifications or qualifications;
- decide admissions or access to courses of study or employment;
- monitor people during tests or exams;
- replace professional advice (medical, legal, financial or similar).
Learning outcomes. PrismaX helps you study and prepare teaching material, but results also depend on your own effort and on factors beyond our control. We do not guarantee that you will pass exams or obtain grades, certifications, admissions or other school, academic or professional results. The content supplements, and does not replace, curricula, textbooks and the guidance of teachers or institutions.
The edukai.app website presents Edukai and its services and is for information purposes.
4.Who may use PrismaX
Accounts and artificial intelligence features are reserved for adults. By creating an account or using a trial without an account, you declare that you are at least 18 years old. We require this to protect minors and because the providers of the artificial intelligence models we use require it.
An adult, such as a teacher or a parent, may use materials created with PrismaX with minors, for example by showing them in class, under their own responsibility and after checking that they are suitable. Minors must not create an account or use the artificial intelligence features.
If we find that an account belongs to a minor, we close it and delete their data, except data we must keep by law or to protect our rights. A parent can report this to us by writing to info@edukai.app. Declaring a false age is a breach of these terms.
You may not use PrismaX if you are subject to restrictive measures of the European Union or the United Nations, or if you act on behalf of someone who is.
5.Account
You can create an account with email and password or with your Google account. The account is personal: provide true and up-to-date information, do not share it and keep your credentials safe. You are responsible for what happens with your account; if you suspect unauthorised use, write to us immediately.
We may ask you to confirm your email address, use automated checks against bots and abuse, and refuse a registration for security reasons or for breach of these terms.
6.Plans, prices and payments
Free. You can use PrismaX without paying, within the usage limits shown in the app.
Pro. A monthly or annual subscription. The price is shown before purchase and includes VAT. Pro includes a budget and daily limits, shown in the app and governed by the section on the budget.
Purchase. Payments are handled by Stripe: we do not see or store your card details. The Pro contract is concluded when we send you the purchase confirmation by email. If a price is displayed by an obvious error, we may decline to confirm the order or cancel it, refunding you immediately. If you need an electronic invoice, enter your billing details in your account.
Promotions. Discount codes and promotions apply under the conditions and for the period stated when we offer them; unless otherwise stated, they cannot be combined or converted into cash. At the end of a promotion, the subscription continues at the full price shown before purchase, unless cancelled.
Renewal and cancellation
- The subscription renews automatically at the end of each period for the same period, at the price then in force, until you cancel it.
- For the annual subscription, we notify you by email at least 30 days before it expires, stating the date by which you can cancel.
- You can cancel at any time from your account. Cancellation takes effect at the end of the period already paid, and until then you keep using Pro. Except for the right of withdrawal and the cases provided by law, we do not refund partial periods or unused budget.
Prices
We may change the price for reasons such as increases in the costs of artificial intelligence models or infrastructure, new features, changes to our offer or inflation. New prices apply immediately to new purchases. If you already have a subscription, the new price applies from the next renewal and we notify you by email at least 30 days in advance: if you do not agree, you can cancel at no cost before that date.
Failed payments
If a charge fails or is reversed, we may suspend the Pro features or move the account back to the Free plan until payment is made. Before disputing a charge with your bank, write to us: your rights in the case of unauthorised charges are unaffected. If you are a professional, you must dispute any charge within 60 days of the date of the invoice or receipt, and late payments bear the interest provided by Italian Legislative Decree 231/2002.
7.Right of withdrawal
If you are a consumer, you may withdraw from the Pro subscription within 14 days of the conclusion of the contract, that is, from the day you receive the purchase confirmation, without giving any reason. Professionals do not have a right of withdrawal.
How to withdraw. Send us a clear statement to info@edukai.app or by certified email to edukai@pec.it; you may use the form below. We confirm receipt by email.
Immediate activation and amount due. If, at the time of purchase, you expressly asked us to activate Pro immediately, during the withdrawal period, and you then withdraw, you owe us an amount in proportion to what we supplied until you notified us of the withdrawal. Since the main value of Pro is the artificial intelligence budget, the amount is the greater of:
- the share of the price corresponding to the days elapsed;
- the share of the price corresponding to the part of the subscription budget you have used.
We refund the difference. For example, with a monthly subscription of €12.99 and a withdrawal after 5 days with 60% of the budget used, you pay €7.79 and we refund €5.20.
Refund. We refund you within 14 days of the day we receive your withdrawal, using the same means of payment and at no cost to you. Access to Pro ends upon withdrawal.
Renewals. The right of withdrawal applies only once, at the conclusion of the contract, and does not start again with automatic renewals. You can always cancel the renewal.
Withdrawal form
To EDUKAI S.R.L.S., Via Pandosia 13, 00183 Rome (RM), Italy, info@edukai.app:
I hereby give notice that I withdraw from my contract for the PrismaX Pro subscription, concluded on [date], in the name of [first and last name], account email [email]. Date, [date]. Signature (only if this form is sent on paper).
8.Budget, artificial intelligence models and fair use
Models and providers. PrismaX’s artificial intelligence features are based on models from third-party providers, currently Google and OpenAI, which we may also access through technical intermediaries. We choose, and may change at any time, the models and providers, how we combine them and the budget cost of each processing operation, for reasons such as changes in the cost or quality of models, the modification or withdrawal of a model by its provider, security or new features.
Provider rules. By using the artificial intelligence features you undertake to comply, in addition to these terms, with the usage rules of the model providers. We may block requests that breach them and, in serious or repeated cases, apply the measures in the section on suspension and closure of the account.
Budget and limits. The budget and usage limits measure and protect the use of the service: they have no monetary value, are not refundable, convertible into cash or transferable, and expire at the end of the period to which they refer. The budget is consumed by each processing operation, even if the output does not satisfy you or has to be regenerated, without prejudice to your rights in case of lack of conformity. If you are a consumer and a change significantly reduces what you can do with Pro, the section on changes applies.
Fair use. The plans are designed for personal and reasonable use. If we detect use that is abnormal compared with the stated limits or with average use, automated, or aimed at circumventing the limits, including through multiple accounts, we may slow down or temporarily limit the artificial intelligence features and, in serious or repeated cases, suspend or close the account.
9.Content generated by artificial intelligence
The lessons, figures and exercises that PrismaX prepares are generated by artificial intelligence.
- They may contain errors, inaccuracies or omissions, even when they appear correct. PrismaX’s automated checks reduce errors but do not eliminate them.
- Do not treat them as a single source of truth. Before using them to teach, publishing them or making decisions, verify them: you are responsible for how you use them.
- The automatic checking of exercises compares the answer with the expected one and can be wrong: do not use it as the sole basis for grades, certifications or decisions about other people.
- Other users may obtain similar content: we do not guarantee that outputs are unique.
- We may refuse requests that breach these terms, the providers’ rules or the law.
10.Your content
Your content remains yours, to the extent that the law protects it. Outputs generated by artificial intelligence may not be protected by copyright, which in Italy protects works resulting from human intellectual effort, including works created with the help of artificial intelligence.
To the extent we may hold any rights in the outputs generated for you, we assign them to you, without warranting that they are protectable. This excludes Edukai’s software, engines, graphic models, templates and code embedded in them: for these elements we grant you a non-exclusive, free licence to use them with your courses, including after the end of the contract for the materials you have already obtained.
This assignment is made subject to a reservation in favour of Edukai of a non-exclusive, perpetual, irrevocable, free, worldwide, transferable and sub-licensable licence over the elements generated by artificial intelligence, such as figures, animations, code and exercise structures, to reuse them, including in modified form, in the service, for other users and in Edukai’s library. This reservation does not cover the texts you write, your requests or personal data, and does not make your private courses public.
You grant us a non-exclusive, free, worldwide and transferable licence to store, reproduce, process (including by sending it to artificial intelligence providers), adapt and display your content to the extent necessary to provide, maintain, protect and improve the service, including by deriving aggregated or anonymous data from it, as described in the privacy notice.
By entering content in PrismaX you warrant that:
- you hold the necessary rights in what you enter and do not infringe the rights of others;
- you do not enter other people’s personal data unless necessary and lawful, and never students’ data in courses.
Copy of your courses. You may ask us at any time for a copy of the courses you have created, in a commonly used, machine-readable format. The copy does not include Edukai’s software and engines, except what is embedded in the courses. If you wish to switch to another service, you have at least 30 days after the end of the contract to request it.
11.Shared courses, public courses and gallery
Each course has a sharing level that you choose:
- restricted: only the people and email domains you authorise can open it. For these courses you see the activity of those who study them, as explained in the privacy notice;
- link: anyone with the link can open it;
- public: anyone can find and open it, including through search engines. The page shows your name, photo and profile description.
Library and licence on public courses. By making a course public you contribute it to Edukai’s library, and at the time of publication we ask you to accept this expressly. You grant Edukai a non-exclusive, free, perpetual and irrevocable, worldwide, transferable and sub-licensable licence to:
- display it in the library and in the gallery, on the pages of PrismaX and Edukai, in promotional materials and on social media;
- reproduce, translate, adapt and modify it, in whole or in part;
- use it to improve PrismaX, for example as an example or to assess the quality of outputs;
- allow other users to copy and adapt it as a starting point for their own courses;
- use it, including for commercial purposes and without compensation, within Edukai’s services and offers: for example in collections, learning paths or paid plans, in licences for schools, universities and companies, or in marketing materials, crediting the author where possible.
The marketing of an individual course as a stand-alone product is subject to prior notice to the author.
The licence remains valid even if you later make the course private or delete it. In that case, within a reasonable time, we remove the public page and your name; we may continue to use the content in the library in anonymous form, without personal data, and copies made by other users and licences already granted remain valid. The author’s moral rights recognised by law are in any case unaffected.
We decide which courses to show in the gallery and may remove them at any time: no course has a right to be published or kept. Whoever publishes a course is responsible for its content.
Other users’ content. We are not required to check in advance the content that users upload or publish, nor to verify its accuracy; we act when we receive a notice or become aware of unlawful content. Other users’ courses, including those in the gallery or copied as a starting point, are provided by those who created them: check them before using them.
12.Use in schools and organisations
If you use PrismaX to teach or train, you comply with the rules of your school or organisation, including those on the use of artificial intelligence, students’ privacy and copyright. You upload texts, images or pages of books only if you have the rights to do so or if the law allows it.
If you use the data of those who study your courses for your own purposes, for example for assessment, you decide how to use them and you are responsible for them as data controller. If you use PrismaX for purposes that the EU Artificial Intelligence Act considers high-risk, such as giving grades that count or deciding admissions, you do so under your sole responsibility.
If you are an organisation or a professional, we may list your name and logo among PrismaX’s customers on the website and in commercial materials; you can ask us to remove them at any time.
13.Rules of use
By using PrismaX you undertake not to:
- create or disseminate content that is unlawful, offensive, discriminatory, violent, sexually explicit or harmful to minors;
- infringe copyright, trademarks, trade secrets or other people’s privacy;
- enter other people’s personal data without being entitled to, or special categories of data (health, opinions and the like);
- present content you have not checked as verified, or use it to deceive;
- remove or alter marks, metadata or notices indicating the artificial origin of content, or present it as entirely human-made where this may mislead;
- circumvent usage limits, filters and security controls, use multiple accounts to exceed limits, or access the service through unauthorised automated systems;
- carry out security tests, vulnerability scans or load tests without our written consent (report vulnerabilities to info@edukai.app);
- copy, decompile or systematically extract PrismaX’s software, content or outputs, including to train other models, except as permitted by law;
- use PrismaX to develop a competing service or publish comparative tests of its performance without our written consent;
- resell or transfer access to the service without our written consent;
- upload malicious code or compromise the security of the service and of other users.
If we close an account for a breach, you may not create another one without our consent.
14.Notices and moderation
Reporting content. If you find content in PrismaX that you believe is unlawful or contrary to these terms, write to info@edukai.app with the subject “Notice”, stating:
- the exact link to the content;
- why you believe it is unlawful or contrary to the terms;
- your name and email, except where the law allows them to be omitted;
- a statement that the notice is made in good faith and that the information is accurate.
We confirm receipt, examine the notice carefully and inform you of our decision.
How we moderate. We use automated checks (filters on requests to the artificial intelligence, bot checks, usage limits) and reviews by our staff. In case of a breach we may, proportionately, remove a course from the gallery or from public visibility, remove content, restrict features, or suspend or close an account.
When we take one of these decisions, we write to you stating what we decided, the facts and the rule on which we rely, whether automated means were used and how you can contest it, except where the law exempts us, for example for large volumes of deceptive commercial content or orders from authorities. You may ask us to review the decision; if it was taken solely by automated means, a person will review it. You may always bring the matter before a court.
Point of contact. For users and authorities, the single point of contact under the EU Digital Services Act is info@edukai.app, in Italian or English. If we become aware of offences threatening people’s life or safety, we inform the authorities.
15.Edukai’s intellectual property
PrismaX, its software, the engines that build the figures, the design, the website texts, the courses created by Edukai and the Edukai and PrismaX trademarks belong to EDUKAI S.R.L.S. or its licensors. These terms give you the right to use the service, not to take ownership of it.
We reserve the right of text and data mining of our content, including for training artificial intelligence systems, pursuant to art. 70-quater of the Italian Copyright Law.
Edukai’s library and gallery, as collections of selected, verified and organised content, are databases of which EDUKAI S.R.L.S. is the maker under arts. 102-bis and following of the Italian Copyright Law. Without our written consent, it is prohibited to extract or re-use all or a substantial part of their content, or to systematically extract insubstantial parts.
If you send us suggestions or ideas, we may use them freely to improve our services, with no obligation towards you.
16.Availability and changes to the service
We work to keep PrismaX available, but we do not guarantee an uninterrupted or error-free service: there may be interruptions due to maintenance, faults or problems with the providers it depends on (hosting, artificial intelligence models, payments).
We may modify, extend, reduce or withdraw features, plans and limits of the service as provided in the section on changes. The features and limits of the Free plan may change at any time.
Development stage. PrismaX is in active development and early access: features, outputs and reliability may change, and malfunctions, interruptions or loss of content, including courses, may occur. When you purchase Pro we ask you to accept these characteristics expressly and separately: if you have accepted them, they do not constitute a lack of conformity.
Experimental features. Some features may be marked as experimental or in trial: they may change, have limits or be withdrawn, and we offer them as they are, to the extent permitted by law.
Third-party services. PrismaX relies on third-party services, such as Google sign-in and Stripe payments, and may contain links to third-party websites. Their use is also governed by those third parties’ terms.
17.Liability
If you are a consumer, we are liable in accordance with the law and your rights always remain unaffected, including the legal guarantee of conformity for digital content and services under the Italian Consumer Code. In application of the rules of the Italian Civil Code, except in the case of wilful misconduct, we are liable for damage that is the immediate and direct consequence of our breach and that was foreseeable when you accepted these terms (arts. 1223 and 1225 of the Civil Code). We are not liable for damage you could have avoided by exercising ordinary diligence (art. 1227 of the Civil Code), for example by verifying generated content before using it to teach or publishing it, or by keeping a copy of the courses that matter to you.
Nor are we liable for damage resulting from use of the service contrary to these terms or from third-party services that you choose and that are not part of our performance, such as your internet connection, your Google account or external websites to which links point.
If a third party claims compensation from us because content you uploaded or published infringes, through your fault, their rights or the law, you are liable for the resulting damage and reasonable costs, including legal costs.
If you are a professional, the service is provided as is, without warranties other than those provided in these terms, including warranties of fitness for a particular purpose. Except in the case of wilful misconduct or gross negligence, we are not liable for indirect damage, loss of profit, loss of data or of opportunity, and our total liability does not exceed the amount you paid us in the 12 months preceding the event. You indemnify us against claims, damage and costs, including legal costs, arising from your content, from the use of the service by you or by the people to whom you make it available, or from your breaches of these terms.
Nothing in these terms limits liability for wilful misconduct or gross negligence, for personal injury or where the law does not allow it.
Free plan and experimental features. The Free plan, trials without an account and experimental features are provided free of charge: for these, to the extent permitted by law, we are liable only for wilful misconduct or gross negligence.
Backups. We may make backup copies for technical needs, but they are not a storage service and we do not guarantee the recovery of lost content: keep a copy of the content that matters to you.
Force majeure. We are not liable for delays or failures to perform caused by events beyond our reasonable control, such as widespread network or provider failures, cyber attacks, actions of authorities or natural disasters.
18.Suspension, closure and discontinuation
By you. You can stop using PrismaX whenever you wish and cancel Pro from your account. To delete your account, write to info@edukai.app from the account’s email address: we delete it without undue delay, within the time limits of the GDPR. Your courses are deleted and shared ones are no longer accessible; copies of public courses already made by other users remain, as stated above. We keep the data that the law requires us to keep or that is needed to protect our rights; backup copies are deleted through normal rotation.
Suspension and closure by us. We may suspend or close an account, without notice where necessary, in case of serious or repeated breach of these terms, false declaration of age, non-payment, risk to the security of the service or of other users, or where required by law. We state the reasons. If we close a Pro subscription through no fault of yours, we refund the unused part.
Inactive accounts. If an account without an active subscription is not used for 12 months, we may close it and delete its content, after notifying you by email at least 30 days in advance. To prevent this, simply sign in.
Our withdrawal and discontinuation of the service. We may withdraw from the contract or discontinue the service in whole or in part, including the Free plan, with at least 30 days’ notice by email or in the app. If you have a Pro subscription, we refund the part already paid and not used. During the notice period you can ask us for a copy of your courses.
19.Changes to the terms, the service and the offer
We may unilaterally change these terms, the service, the plans, the prices and our offer for justified reasons, including: the evolution of Edukai’s service, offer or business model; the introduction, change or withdrawal of features or plans; changes in costs, providers or technology; security needs; changes in the law or measures of the authorities; the need for greater clarity.
- The updated version is published on this page with the date of update and applies immediately to those who register or purchase after publication.
- For existing account holders, changes that are favourable, formal, not significant, required by law or urgent for security apply from publication. We inform you of significant changes through a notice in the app or by email, at our choice, at least 15 days before they apply.
- If you have a Pro subscription and a change makes it significantly worse, the change applies from the next renewal and we notify you by email at least 30 days in advance. If, for technical or legal reasons, it must apply before the renewal and you are a consumer, you may withdraw at no cost within 30 days of the notice, with a refund of the unused part.
- If you are a professional, changes apply from the date stated in the notice.
If you do not accept a change, you can cancel the subscription or close the account before it applies. By continuing to use the service after that date you accept the new terms; we may ask you to confirm them when you next sign in.
20.Governing law, complaints and disputes
These terms are governed by Italian law. If you are a consumer living in another country of the European Union, you keep the mandatory protections provided by the law of your country.
For complaints, write to info@edukai.app: we normally reply within 30 days. If you are a consumer and the complaint is not resolved, we will tell you which alternative dispute resolution (ADR) body is competent and whether we intend to take part in the procedure.
Disputes with a consumer fall within the jurisdiction of the court of the place where the consumer resides or is domiciled. Disputes with a professional fall within the exclusive jurisdiction of the courts of Rome.
21.Final provisions
- If a clause is found invalid, the others remain valid. If we do not immediately enforce a right, we do not waive it.
- Clauses that by their nature must survive the end of the contract, such as the licences on public courses, intellectual property, limitations of liability, indemnity, governing law and jurisdiction, remain valid afterwards.
- We may assign the contract, the licences you grant us and the rights in content to another company, including in the context of a merger, acquisition or transfer of all or part of the business, without reducing your protections and giving you notice. You may not assign the contract without our written consent.
- If you are a professional, these terms and the documents referred to in them constitute the entire agreement and supersede prior understandings on the same subject.
- These terms do not create any agency, partnership or employment relationship. Section headings are for convenience only.
- You agree to receive communications relating to the service electronically, at your account email or in the app, including confirmations, receipts and notices: keep your email address up to date.
- This is a translation of the Italian terms, which are the original version: in case of differences, the Italian version prevails.
22.Specifically approved clauses (professionals)
If you are a professional, pursuant to articles 1341 and 1342 of the Italian Civil Code you specifically approve, through the separate confirmation we ask of you at the time of acceptance or purchase, the clauses of the following sections:
- section 6, Plans, prices and payments: automatic renewal, price changes, suspension for non-payment, time limit for disputes;
- section 8, Budget, artificial intelligence models and fair use: choice and change of models, budget and limits; fair use and restrictions;
- section 10, Your content: licences on content and reservation over elements generated by artificial intelligence;
- section 11, Shared courses, public courses and gallery: contribution to the library and perpetual, irrevocable licence on public courses;
- section 12, Use in schools and organisations: responsibility for use in schools and organisations; use of name and logo;
- section 13, Rules of use: restrictions of use;
- section 16, Availability and changes to the service: development stage, changes to the service, experimental features, third-party services;
- section 17, Liability: exclusion of warranties, limitations of liability and indemnity;
- section 18, Suspension, closure and discontinuation: suspension and closure of the account, inactive accounts, our withdrawal and discontinuation;
- section 19, Changes to the terms, the service and the offer: unilateral changes to the terms, the service, the plans, the prices and the offer;
- section 20, Governing law, complaints and disputes: governing law and exclusive jurisdiction of the courts of Rome;
- section 21, Final provisions: assignment of the contract and licences, entire agreement;
